1. About these Terms
These Terms govern your use of this website. As section 3 sets out, they also form part of every engagement with Nonlinear Advisors LLC ("Nonlinear", "we", "us"). By using the site or engaging us, you accept them.
2. The website
The site describes our firm and our work in general terms. Nothing on it is legal, tax, accounting, investment or security advice, and nothing on it is an offer to provide services on any particular terms.
Visiting the site or writing to us does not make you a client. Please do not send confidential information until we have agreed in writing to receive it.
3. Client engagements
We provide services under a written engagement agreement. These Terms are incorporated into every client engagement by default, whether or not the agreement repeats them.
Where an engagement agreement and these Terms differ, the engagement agreement governs. The version of these Terms in effect on the date an engagement agreement is signed is the version that applies to that engagement.
4. Marketing and public statements
Our website, videos, presentations, articles, social media posts, advertisements, promotions and other public-facing material describe our work in general terms. They are not part of any contract. They do not change, add to or override these Terms or any client agreement.
No statement in that material is a promise, a warranty or a guarantee of any result. Examples of past work are illustrations and do not predict what any other company will achieve. Each client agrees that it engages us on the basis of its engagement agreement and these Terms alone, and has not relied on marketing or other public material in deciding to do so.
5. Artificial intelligence and new technology
We use artificial intelligence and other new or experimental technology in our work, alongside established tools. Our people review the work before it reaches a client, and we are diligent about it. How we use AI describes our practice.
No review catches every error. Work prepared with these tools may contain mistakes or omissions that we do not find. Clients remain responsible for their own decisions, and should tell us promptly of anything that looks wrong so that we can correct it.
6. What we are not
Nonlinear provides finance, operations, security and strategic advisory services. It is not a CPA firm and does not provide audit or attest services. It is not a law firm. It is not a registered investment adviser or a broker-dealer, does not solicit investors, and does not receive transaction-based compensation.
7. Intellectual property
The content of this site, and the Nonlinear name, logo and emblem, belong to Nonlinear Advisors LLC. You may read, link to and quote the site with attribution. You may not copy it for commercial use, or use our name or marks, without our written permission.
8. Links to other sites
The site links to sources and other sites we do not control. We are not responsible for their content or their practices.
9. No warranties
The site is provided as it is. To the fullest extent the law allows, we make no warranties about it, including that it is accurate, complete, current or always available.
10. Limits on liability
To the fullest extent the law allows, Nonlinear is not liable for indirect, incidental, special or consequential loss, or for lost profits or lost data, arising from use of this site or reliance on its content. Liability for services under a client engagement is as set out in the engagement agreement.
11. Privacy
Our Privacy and Data Handling notice explains what information we handle and how.
12. Changes
We may update these Terms. The date at the top shows the latest version. Continued use of the site after a change means you accept it. Existing engagements keep the version described in section 3.
13. Governing law
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Disputes will be heard in the state or federal courts located in New York County, New York, unless an engagement agreement provides otherwise.
